The deal
Nvidia will invest $3 billion in Meta’s equity offering, Nvidia said in a release dated October 26. It calls this a proposed investment that still depends on closing conditions.
Meta intends to expand its use of Nvidia’s Vera Rubin systems and Vera processors for its next AI agents, the release says. It will also use Nvidia’s Spectrum-X networking and BlueField-4 chips.
The companies say they will work to make Meta’s Muse models faster and cheaper to train and run. They will also consider working together on Nvidia’s OpenShell tools for running AI agents safely.

Meta’s share sale
Meta’s filing with the US Securities and Exchange Commission describes about $35 billion of share offerings. About $22.5 billion is Class A stock, and about $12.5 billion is preferred stock that turns into common shares in August 2029.
Nvidia, AMD and Broadcom indicated interest in buying up to $5 billion of the Class A shares between them, the filing says. It warns that these indications are not binding agreements.
Meta also plans to sell about $60 billion more of stock on the open market from early 2027, once its new nonvoting Class C shares start trading. Meta says it will use the money from the preferred stock for general corporate purposes.
What is not known
Nvidia’s release gives no number of chips, no time frame and no value for the hardware Meta plans to use. How AMD and Broadcom split the rest of the $5 billion is not known either.
Reuters and Investing.com reported the investment early on Tuesday, October 27, from Nvidia’s statement. Stocktwits notes that the two companies first announced a multi-year deal for chips, processors and networking in February.
